Overview

The Design-Build Institute of America (DBIA), established in 1993, defines, teaches and promotes best practices in design-build project delivery. Design-build is an integrated approach that delivers design and construction services under one contract with a single point of responsibility. DBIA has provided these DBIA bond forms to NASBP and the NASBP membership as long as the individual who is downloading them agrees to maintain the complete integrity of the core bond content. The NASBP membership may use the documents to issue bonds and may also add peripheral content, such as surety letterheads or logos, certification or authorization pages, and notary blocks. NASBP has been providing the NASBP membership access to these DBIA bond forms since 2015.  Here is a printable version of the license agreement.

DBIA Bond Forms Access

Access to the 14 DBIA bond forms requires agreement to the license and instruction. NASBP Members, Affiliates, and Associates can access this by using the NASBP login and agreeing to the license on the Bond Forms Tab.

 Directions to Access the DBIA Bond Forms
• Click the grey LOG IN button on the right, using your NASBP username and password.
• This will take you to the BOND FORMS tab
• The only item available to view (not grayed out with a lock symbol) is the License Agreement.
• You must click the gray READ TERMS button, read the agreement, and click I AGREE at bottom right to proceed. If, for any reason you do not agree, please click CANCEL.
• Once you agree to the license, the License Agreement will have a green check next to it, and all bond forms should be available for download. They will have a blue check next to them.
• To download a bond form, click on the title of the bond form that you need, and then click the grey DOWNLOAD button. A Word document version of the form that you selected will appear and then you can print or save it, as needed.

Design-Build Institute of America – Bond Forms LICENSE AGREEMENT

Solely for NASBP Members, Affiliates, and Associates in Good Standing

By using the DBIA Bond Forms, you agree to and are bound by the terms of this License Agreement.

1. License. The Design-Build Institute of America (“DBIA”) provides DBIA Bond Forms and licenses their use worldwide. You are being licensed by DBIA to use the DBIA suite of standardized bond forms (“the Forms”) in your regular course of business by virtue of being a member, an affiliate, or an associate of the National Association of Surety Bond Producers (NASBP) and by accepting all terms and conditions of this license. Your download and use of any of the Forms is a representation that you accept all terms and conditions of this license; that your company is currently a member, an affiliate, or an associate of NASBP in good standing; and that you are authorized to accept the terms and conditions of this license on its behalf.

2. Use. You acknowledge that DBIA Forms are protected by the copyright laws of the United States. You have a limited nonexclusive license to: (a) Use DBIA Forms on any number of machines owned, leased, or rented by your company or organization; (b) Use DBIA Forms in printed form for bona fide contract purposes; and (c) Copy DBIA Forms into any machine-readable or printed form for backup or modification purposes in support of your permitted use.

3. Name and Contact Information. You agree to provide the name and contact information, including email address, for one person employed by the NASBP member, affiliate, or associate company who shall serve as the authorized point of contact to administer and to oversee compliance with the terms of this license. Should the original contact person no longer be employed by you, within a reasonable time, you must forward to NASBP the name and contact information of a successor contact. The point of contract expressly authorizes NASBP to communicate directly through phone, fax, mail, or email and, as such, agrees not to opt out of such communications.

4. User Responsibility. You assume sole responsibility for the selection of specific documents or portions thereof to achieve your intended results and for the installation, use, and results obtained from the DBIA Forms. You acknowledge that you understand that the text of the DBIA Forms has important legal consequences and that consultation with an attorney is recommended with respect to use or modification of the text. You will not represent that any of the contract documents you generate from DBIA Forms are DBIA documents unless (a) the document text is used without alteration or (b) all additions and changes to, and deletions from, the text are clearly shown.

5. Copies. You may not use, copy, modify, or transfer DBIA Forms, or any copy, modification, or merged portion, in whole or in part, except as expressly provided for in this license. Reproduction of DBIA Forms in printed or machine-readable format for resale or educational purposes is expressly prohibited. You will reproduce and include DBIA’s copyright notice on any printed or machine-readable copy, modification, or portion merged into another document or program.

6. Transfers. You may not transfer possession of any copy, modification, or merged portion of DBIA Forms to another party, except that a party with whom you are contracting may receive and use such transferred material solely for purposes of its contract with you. You may not sublicense, assign, or transfer this license except as expressly provided in this Agreement, and any attempt to do so is void.

7. Term. The license is effective until terminated. DBIA may elect to terminate it earlier, by written notice to you, if you fail to comply with any term or condition of this Agreement. This license shall terminate automatically as to each DBIA bond form upon the withdrawal of that bond form from publication to the public by DBIA, by the publication of bond form editions that supersede any of the Forms, and if you fail to remain a member, an affiliate, or an associate of NASBP in good standing. You agree upon such termination to destroy the Forms, along with all copies in any form, promptly.

8. Forms Provided “As Is.” YOU ASSUME ALL RESPONSIBLITY FOR YOUR USE OF ANY OF THE FORMS. THE FORMS ARE PROVIDED “AS IS” AND WITH ALL FAULTS. UNLESS EXPRESSLY STATED, NEITHER DBIA NOR NASBP MAKES ANY REPRESENTATION OR WARRANTY OF ANY KIND WITH RESPECT TO ANY OF THE FORMS, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF ACCURACY, RELIABILITY, MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. NEITHER DBIA NOR NASBP REPRESENTS OR WARRANTS THAT THE FORMS WILL BE ERROR FREE OR THAT THE INTERNET SITE OR THE SERVER FROM WHICH ANY OF THE FORMS WILL BE DOWNLOADED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PLEASE NOTE THAT SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE. IN NO EVENT WILL DBIA OR NASBP BE LIABLE TO YOU FOR ANY DAMAGES, DIRECT OR INDIRECT, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE ANY OF THE FORMS EVEN IF DBIA AND NASBP HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

9. Limitations of Remedies. DBIA’s and NASBP’s entire liability and your exclusive remedy shall be your ability to re-download any bond form.

10. Advice of Counsel. You are strongly encouraged to seek the advice of legal counsel before completing or modifying any of the Forms.

11. Acknowledgement. You acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions, and that it will be governed by the laws of the District of Columbia. You further agree that it is the complete and exclusive statement of your agreement with DBIA, which supersedes any proposal or prior agreement, oral or written, and any other communications between the parties relating to the subject matter of this Agreement.

12. Order of Precedence. You acknowledge that, to the extent that any of the terms and conditions of this Agreement conflict with any terms and conditions in the DBIA License Agreement that accompanies the DBIA Forms, the terms and conditions in this Agreement will govern.
